PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. BY USING SIDEQUEST, YOU AGREE TO THESE TERMS.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sidequest Gigs LLC ("Sidequest," "we," "us," or "our"), a Florida limited liability company, governing your access to and use of the Sidequest website, platform, and related services (collectively, the "Platform").

By accessing or using the Platform, creating an account, posting a gig, or completing a gig, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform with a new effective date. Your continued use of the Platform after any modification constitutes your acceptance of the updated Terms.

2. Description of Services

Sidequest is a technology platform that connects individuals who need tasks completed ("Requesters") with individuals willing to complete those tasks for compensation ("Fulfillers"). Sidequest acts solely as a marketplace intermediary and facilitator. Sidequest is not a party to any agreement between Requesters and Fulfillers, does not employ Fulfillers, and does not guarantee the quality, safety, or legality of any gig posted or completed on the Platform.

Sidequest is currently available across the United States and Canada. Gigs submitted with addresses outside the United States and Canada will not be accepted at this time. Sidequest reserves the right to expand to additional countries at any time.

3. Eligibility

To use the Platform, you must:

(a) Be at least 18 years of age;
(b) Be a resident of the United States or Canada;
(c) Have the legal capacity to enter into binding contracts;
(d) Not be barred from using the Platform under applicable law;
(e) Provide accurate, complete, and current information when submitting a gig or signing up as a Quester prospect;
(f) Not have been previously suspended or removed from the Platform.

By using the Platform, you represent and warrant that you meet all eligibility requirements. Sidequest reserves the right to verify your eligibility at any time and to suspend or terminate your access if you do not meet these requirements.

4. Independent Contractor Relationship

Fulfillers who complete gigs through the Platform are independent contractors, not employees, agents, partners, or joint venturers of Sidequest or any Requester. Sidequest does not control the manner, method, or means by which Fulfillers perform their services. Fulfillers are solely responsible for determining how to complete a gig, subject to the deliverables specified by the Requester.

As an independent contractor, each Fulfiller is solely responsible for:

(a) All federal, state, and local taxes on income earned through the Platform;
(b) Obtaining any licenses, permits, or certifications required to perform the services;
(c) Maintaining any insurance coverage deemed appropriate, including general liability, auto, and health insurance;
(d) Compliance with all applicable laws and regulations;
(e) All equipment, tools, and supplies necessary to complete a gig unless otherwise specified by the Requester.

Sidequest will issue IRS Form 1099-NEC to Fulfillers who earn $600 or more through the Platform in a calendar year, as required by law. Nothing in these Terms creates an employment relationship between Sidequest and any Fulfiller.

5. Gig Posting and Payment Terms

5.1 Gig Submission

Requesters may post gigs by describing their needs through the Platform. Sidequest uses artificial intelligence to help structure gig descriptions into a formatted gig card. By submitting a gig, the Requester represents and warrants that:

(a) The gig description is accurate and complete;
(b) The gig does not involve any illegal, prohibited, or harmful activity as described in Section 7;
(c) The Requester has the authority and legal right to request the described services;
(d) The address provided is accurate and within the Sidequest service area;
(e) The deadline provided is reasonable and achievable.

5.2 Platform Fees

Sidequest charges the following platform fees:

Requester Service Fee: 18% of the gig price, charged on top of the gig price at the time of submission. The total amount charged to the Requester is the gig price plus the 18% service fee.

Fulfiller Platform Fee: 26% of the gig price, deducted from the Fulfiller's payout upon completion. The Fulfiller receives 74% of the gig price set by the Requester.

Payment Processing:All payments are processed by Stripe, Inc. Stripe's standard processing fees are included in Sidequest's platform fee structure and are not charged separately to users.

5.3 Payment Capture

Payment is captured immediately upon gig submission. By submitting a gig and completing the payment process, the Requester authorizes Sidequest to charge the total amount (gig price plus 18% service fee) to the Requester's designated payment method. All payments are processed securely through Stripe. Sidequest does not store credit card information on its servers.

5.4 Payouts to Fulfillers

Fulfillers receive their payout (gig price minus 26% platform fee) after the gig is confirmed complete by Sidequest. Payouts are processed through Stripe and transferred to the Fulfiller's designated bank account or debit card. Transfer times vary by financial institution and typically take 1–3 business days.

5.5 Refunds and Money-Back Guarantee

Sidequest offers a money-back guarantee under the following circumstances:

(a) Gig not claimed: If no Fulfiller claims your gig before your stated deadline, you are entitled to a full refund of the total amount charged, including the platform service fee.

(b) Gig abandoned: If a Fulfiller claims your gig but abandons it before completion and no replacement Fulfiller is found before your deadline, you are entitled to a full refund.

(c) Gig not completed: If a claimed gig is not completed to a reasonable standard, as determined by Sidequest in its sole discretion based on proof of work submitted, you may be entitled to a full or partial refund.

(d) Requester cancellation: If you cancel a gig before a Fulfiller has claimed it, you are entitled to a full refund minus any non-recoverable payment processing fees.

Refunds are NOT automatic and are NOT guaranteed in the following circumstances:

(i) The Fulfiller has claimed the gig and is actively working toward completion, even if the deadline passes by a reasonable margin due to circumstances outside the Fulfiller's control, including but not limited to traffic, access delays, or scope changes requested by the Requester after claiming;

(ii) The Requester is dissatisfied solely due to a change in personal preferences or circumstances unrelated to the Fulfiller's performance;

(iii) The Requester fails to provide necessary access, supplies, or information required to complete the gig as described;

(iv) The gig has been marked complete and proof of completion has been submitted.

All refund requests are reviewed by Sidequest on a case-by-case basis. Sidequest's determination regarding refund eligibility is final. Refunds, when approved, are processed within 5-7 business days to the original payment method.

6. Gig Completion and Proof

Fulfillers are required to provide photo and/or video proof of completion for each deliverable listed on the gig card. Proof must be:

(a) Authentic and unaltered;
(b) Clearly showing completion of the specified deliverable;
(c) Uploaded through the Sidequest Platform.

Submission of false, staged, or misleading proof is a violation of these Terms and may result in immediate account termination, forfeiture of payment, and potential legal action.

7. Acceptable Use Policy

7.1 Prohibited Gigs

The following types of gigs are strictly prohibited on the Platform:

(a) Illegal activities: Any gig that requires a Fulfiller to violate any federal, state, or local law, including but not limited to theft, trespassing, fraud, drug transactions, or unlicensed professional services;

(b) Dangerous activities: Gigs that pose an unreasonable risk of physical harm, including handling hazardous materials, working at unsafe heights without proper equipment, or operating machinery without proper licensing;

(c) Harassment and surveillance: Gigs designed to stalk, harass, intimidate, monitor, or surveil any individual without their consent;

(d) Discriminatory requirements: Gigs that specify or imply discriminatory preferences based on race, color, religion, sex, gender identity, sexual orientation, national origin, disability, age, or any other protected characteristic;

(e) Sexual content: Gigs involving sexual services, adult content, or any form of sexual exploitation;

(f) Weapons and controlled substances: Gigs involving the purchase, transport, handling, or delivery of firearms, ammunition, explosives, illegal drugs, or controlled substances;

(g) Unlicensed professional services: Gigs requiring licensed medical, legal, financial, or other professional services that the Fulfiller is not licensed to provide;

(h) Gigs involving minors: Any gig requiring unsupervised contact with individuals under the age of 18;

(i) Deceptive gigs: Gigs designed to mislead Fulfillers about the nature, scope, safety, or conditions of the work;

(j) Fraudulent activity: Gigs intended to facilitate fraud, money laundering, or any other financial crime.

7.2 Prohibited Conduct

In addition to the prohibited gig types above, users may not:

(a) Create false or misleading profiles or gig descriptions;
(b) Circumvent the Platform's payment system by arranging off-platform payments;
(c) Submit false or fabricated proof of completion;
(d) Harass, threaten, or abuse other users through the Platform;
(e) Impersonate any person or entity;
(f) Use automated systems, bots, or scripts to access the Platform;
(g) Attempt to reverse engineer, decompile, or otherwise access the Platform's source code;
(h) Use the Platform for any purpose other than its intended use as a gig marketplace;
(i) Collect personal information about other users for unauthorized purposes;
(j) Post the same gig multiple times to manipulate the Platform.

7.3 Enforcement

Sidequest reserves the right to remove any gig, suspend, or permanently terminate any user account that violates this Acceptable Use Policy, without notice and without refund of any platform fees. Sidequest may also report illegal activity to law enforcement authorities and cooperate with any resulting investigation.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) SIDEQUEST'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO SIDEQUEST IN CONNECTION WITH THE SPECIFIC GIG GIVING RISE TO THE CLAIM;

(b) SIDEQUEST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, EVEN IF SIDEQUEST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;

(c) SIDEQUEST IS NOT LIABLE FOR THE ACTS, OMISSIONS, OR CONDUCT OF ANY REQUESTER OR FULFILLER, WHETHER ON OR OFF THE PLATFORM;

(d) SIDEQUEST DOES NOT GUARANTEE THAT GIGS WILL BE CLAIMED, COMPLETED, OR COMPLETED TO THE REQUESTER'S SATISFACTION;

(e) SIDEQUEST IS NOT RESPONSIBLE FOR ANY DAMAGE TO PROPERTY CAUSED BY A FULFILLER IN THE COURSE OF COMPLETING A GIG.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless Sidequest Gigs LLC and its members, managers, officers, employees, agents, contractors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

(a) Your use of the Platform;
(b) Your violation of these Terms;
(c) Your violation of any applicable law or the rights of any third party;
(d) Any gig you post, claim, or complete through the Platform;
(e) Any injury to persons or damage to property caused by you in connection with a gig;
(f) Any dispute between you and another user.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

SIDEQUEST DOES NOT WARRANT THAT: (a) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (b) THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE; (c) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED; (d) THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SIDEQUEST DOES NOT ENDORSE, VERIFY, OR GUARANTEE THE IDENTITY, QUALIFICATIONS, BACKGROUND, OR WORK QUALITY OF ANY FULFILLER.

11. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

11.1 Informal Resolution

Before initiating any formal dispute, you agree to contact Sidequest at support@sidequestgigs.com and attempt to resolve the dispute informally. Sidequest will attempt to resolve the dispute within 30 days of receiving notice.

11.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your relationship with Sidequest — including disputes about the validity, applicability, or scope of this arbitration agreement — shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court.

11.3 Class Action Waiver

YOU AND SIDEQUEST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

11.4 Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

11.5 Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. To the extent court proceedings are permitted under these Terms, the exclusive venue shall be the state and federal courts located in Duval County, Florida.

12. Termination

Sidequest reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include but are not limited to violation of these Terms, fraudulent activity, abusive behavior toward other users, or prolonged inactivity.

Upon termination, your right to use the Platform immediately ceases. Any pending gig payments for completed gigs will still be processed. Sidequest's rights and your obligations under these Terms shall survive termination.

You may stop using the Platform at any time. To request account deletion or removal of your data, contact support@sidequestgigs.com.

13. Intellectual Property

The Platform and its content, including but not limited to the Sidequest name, logo, design, AI-generated gig card system, software, and documentation, are owned by Sidequest Gigs LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on any Platform content without our express written permission.

By posting a gig or submitting content to the Platform, you grant Sidequest a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute your content solely for the purpose of operating and improving the Platform.

14. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

15. Miscellaneous

15.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sidequest regarding the Platform and supersede all prior agreements.

15.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver. Sidequest's failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.

15.4 Assignment. You may not assign your rights or obligations under these Terms without Sidequest's prior written consent. Sidequest may assign its rights and obligations without restriction.

15.5 Force Majeure. Sidequest shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.

15.6 No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
